*Special Resolution to amend Clause 7.1 in the Constitution
 
Proposed change to Constitution and ratification of AGM date
 
The Board resolved the following motion on 31 August 2017:
 
Motion: To approve the proposal of a motion at the AGM to change clause 7.1 of the constitution to stipulate that the AGM is held within six months of the end of the financial year.
 
Moved: Graham Cameron                           Seconded: Irene Walker                               CARRIED
 
Clause 6.1 of the Constitution states that “rules may be altered...by a resolution passed by 75% majority of the votes of members cast a general meeting of the Society.”
 
At the AGM, two motions will be raised as follows:
 
Motion: That clause 7.1 is changed to read as follows – “The Annual General Meeting of the Society shall be held within six months of the end of the financial year each year upon a date and at a time and place to be fixed by the Runanga”
 
Motion: That the date for the 2017 AGM be ratified albeit in breach of the Constitution.
 
Justification
Due to increasing complexities in the business, audit requirements and the time required to undertake sound processes, the Constitution needs to be changed to align with these new requirements and to ensure that the Rūnanga continues to deliver to the Constitutional requirements.
